FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Renault-Nissan alliance reboot will kick off with five projects

Renault SA and Nissan Motor Co. are moving ahead with a plan to recalibrate a two-decades-old alliance that had weakened over time, starting with a range of industrial projects alongside an agreement to rebalance capital ties, according to people familiar with the situation. Top executives from the alliance partners held an operating board meeting on Thursday, giving a nod to bringing Nissan and Renault’s cross shareholdings to an equal level, as well as common projects as part of the reshaped cooperation, the people said. The partners also agreed on an alliance event to be held on Feb. 6 in London to present details of the plans, the people added, declining to be named discussing details before they are public. Under the landmark plan, Renault is expected to cut its 43% stake in Nissan to 15% via an orderly disposal of shares over time to eliminate lopsided capital ties that have been a source of friction for years. The tentative agreement comes after years of tension that at one point spilled over into Japanese-French politics when Renault-NissanÂ’s then-leader Carlos Ghosn weighed to merge the two companies.   The partners also agreed to continue collaborating on various industrial projects, a condition that was crucial for Renault to obtain approval for the rebalancing from its most powerful shareholder, the French government. Media representatives for Renault and Nissan declined to comment. The boards of directors of the respective companies will have to approve the agreement in meetings to be held in coming days, the people said.  Code name: ‘ReloadedÂ’ The redesigned alliance will allow Chief Executive Officer Luca de Meo to move on with a complex split of Renault into five separate businesses, including carved-out electric-vehicle business Ampere and to deepen ties with a series of other partners, including ChinaÂ’s Zhejiang Geely Holding Co. and Qualcomm Inc., the people said. “The interest for each of the partners is now to be able to move forward without, for example, RenaultÂ’s management getting distracted in endless trans-national politics,” says Stifel analyst Pierre-Yves Quemener. Failure of the talks would have been “a negative,” Quemener said.  Renault, Nissan and junior partner Mitsubishi Motors Corp. will embark on roughly five projects initially, codenamed “Reloaded,” with others to follow, the people said.

The snow has melted, the sun is shining, and the days are getting longer. At the Autoblog Detroit office we feel like our winter hibernation is finally over. Subaru BRZ / Scion FR-S In some parallel universe, this car actually happened. Toyota showed us a FT 86 Convertible concept at the Geneva Motor Show in 2013, and we immediately started licking our chops over the thought of a rear-wheel-drive convertible based on the Subaru BRZ and Scion FR-S twins. These days, the MX-5 Miata is our only option for affordable roadster fun. A competitor to the Mazda seems like a no-brainer to us, especially since we have naught but good to say about the BRZ/FR-S as-is. Unfortunately in our present timeline, this car is as likely for production as a BRZ STI. Which is to say, not very. Dang. Lexus RC F Unlike the FR-S, a convertible from Toyota's luxury division might actually see the light of day. The current IS convertible is about to be phased out, and the Lexus LF-C2 concept from the 2014 Los Angeles Auto Show is really a thinly veiled look at a possible RC convertible. A droptop RC would be plenty good, but let's reach for the starts. What we really want is to run topless in an RC F, complete with that powerful, loud, 5.0-liter V8 engine. Lexus says the RC F is a true competitor to the BMW M4. If that's true, it only makes sense for Lexus to mimic the Germans and offer its performance coupe in a folding hardtop form. Maybach Landaulet Maybach is bach back, recast as an upper crust trim level for Mercedes-Benz. The Mercedes-Maybach S600 is seriously awesome, and more luxurious than a trip to the spa. But why not go a step into the truly ridiculous levels of extravagence and bring back that open-top Landaulet? We think your local princess will love this idea, and with better S-Class bones underneath, Jeeves will have a pretty enjoyable ship to steer, too. Besides, with that slick new Mercedes design language, a Landaulet redux wouldn't be nearly as hideous as the old model, pictured here.
