FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Nissan Leaf sales double Chevy Volt to close out winning 2014

To close out the year, sales of the two most-popular plug-in vehicles in the US kept going in the direction that they had been all year. The Chevy Volt dropped and the Nissan Leaf had another record month. Sound familiar? The Volt sold 1,490 units in December, a year-to-year drop of 37.7 percent. For all of 2014, Volt sales were down 18.6 percent to just 18,805 (from 23,094 in 2013). On the Nissan side of the ledger, the Leaf sold 3,102 units, up 22.7 percent from the 2,529 sold in December 2013. For the year, Nissan sold 30,200 Leafs, up 33.6 percent from the 22,610 sold in 2013. A few other things to note: For every month in 2014, the Leaf sold more than it did for the same month in 2013. For the Volt, this was only true for three months (April, May and July). Funnily enough, the Volt sold exactly 1,478 units in both March 2013 and 2014. The Volt's 2014 total was lower than both 2013 and 2012, while the Leaf had its best year ever. There were three months in 2014 when people bought at least twice as many Leafs than bought a Volt (September, November, December). The Leaf outsold the Volt every month in 2014. The closest gap was 215 units, in February. The biggest was 1,612, in December. As you've most likely seen, GM is still busy teasing the new Volt, which will make its official debut at the Detroit Auto Show next week. Nissan gets new NA boss, lowered forecasts in management shakeup

José Muñoz, a Nissan and Infiniti sales and marketing vice president, will replace Colin Dodge as Nissan's new North America chief, come Jan. 1, as part of a wide-ranging management shuffle, Automotive News reports. Dodge will remain on Nissan's board, be assigned to special projects and report directly to CEO Carlos Ghosn.
Nissan is working on reorganizing its global operations into six regions, each with a new chief: North America (Muñoz' territory), Latin America, Japan-Southeast Asia, China, Europe and Africa-India-Middle East. Currently Nissan divides the globe into three regions, the Americas, Europe-Africa-India-Middle East and Asia-Pacific.
Nissan also lowered its sales forecast from 5.3-million vehicles to 5.2 million for the fiscal year ending on March 31, 2014. Last year, the company sold 4.914 million in the same period. In May, after Nissan's market share had fallen to 7.7 percent, Ghosn said he wants to double sales in the US by 2017 and increase its market share in the country to 10 percent.
