FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Nissan's Ghosn highest paid exec in Japan again, at $10M per year

Nissan CEO Carlos Ghosn is on track to be the highest-paid executive in Japan for the fourth time in five years. Ghosn's salary and bonuses last year rang the register to the tune of $9.8 million (995 million yen), and when stock dividends are added to the equation, the exec's total pay crested a billion yen. That represents a 0.7-percent increase over his pay from the previous year. Ghosn earned an additional $3.1 million as CEO of Renault.
According to Bloomberg, Ghosn's compensation was announced at a shareholder's meeting in Japan, prompting an explanation from the CEO. "I understand the sensitivity of the issue," Ghosn said. "Being in Japan should not be a handicap to attract talent. We need the best minds, we need the best talents."
Few would argue with that assessment, we'd guess, but it doesn't answer the question of whether Ghosn is the most talented CEO in Japan. Akio Toyoda, head of Toyota in Japan, earned 230 yen (though, as a large shareholder in Toyota, Toyoda's dividend payments bring him closer to Ghosn) in compensation while steering his automaker to a profit that was five times higher than Nissan's. Honda President Takanobu Ito was paid the comparatively small sum of 150 million yen last year.

Drifting is sometimes a maligned from of motorsport because it's scored by judges rather than the outcome of shedding tenths off of lap times. But that doesn't mean the people behind the wheel are lacking in skill. Amazingly, Deane got started drifting at just 15 in a Ford Sierra, and a year later, he was already winning championships in a Nissan S14. His current competition weapon combines a Nissan chassis with a turbocharged Toyota 2JZ engine and a NASCAR four-speed gearbox. Deane reckons the setup makes around 650 horsepower. As this video shows, Deane is a master of getting the car to slide just where he wants it to be. Coupled with Xcar's consistently fantastic cinematography, there's an interesting story here of a racer stepping up the ladder of competition.
