FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Dacia Duster to spawn inexpensive Nissan Terrano, will we get it?

When going to overseas auto shows, one can't help but spend an inordinate amount of time eyeballing forbidden automotive fruit. It's often of the seriously rare, criminally powerful and six- or seven-digit variety. But more often than one might think, the genuinely affordable overseas hero makes us swoon, too. So it is with the Dacia/Renault Duster, the cheap-as-chips, hard-wearing utility vehicle. We've often thought that its basic, rugged charms would play well in the US if saddled with a low enough price tag, but we've never seen much of a window for that to actually come true.
But now, Autocar India is reporting that Nissan will flex its alliance with Renault to spin off a Duster of its own, one that exhumes the Terrano nameplate, a moniker once used for overseas versions of the first- and second-generation Pathfinder. The new model will feature unique sheetmetal to give it a familial look, but the interior will be the same, and we expect the same goes for the powertrain, meaning there will be a range of gasoline and diesel four-cylinder engines with both manual and automatic gearboxes and front- or all-wheel drive.
So, does that mean we'll get a Nissan version of the Duster-based Terrano to call our own? Sadly, almost certainly not. Company spokesman Dan Bedore tells Autoblog flatly, "There are no plans to bring this model to the US." Bummer. Even if it isn't ultimately as capable as the larger, long-in-the-tooth Xterra (it's more on par with the now departed Canadian-market X-Trail), we think the Duster's archetypal SUV looks and low cost barrier would win it plenty of fans in our market. Our guess is that redesigning the model to meet US regulations (crash, emissions, lighting, etc.) would be prohibitively expensive, and the Dacia/Renault model is built in some pretty distant facilities - Brazil, India, Romania and Russia among them - making the business case harder still.

Ghosn orders Nissan USA to double sales by 2017

Nissan CEO Carlos Ghosn has just one teensy-weensy request for its United States arm: Double your sales by 2017.
"China was not our biggest, I would say, disappointment. It was mainly the United States. We were expecting a strong year in the United States. It didn't happen," Ghosn said, speaking at a conference after announcing Nissan's 2012 fiscal results, Automotive News reports. Because of this, Ghosn has ordered his US executives to iron out the problems that affected new vehicle launches and to strengthen the company's dealer network.
In 2012, Nissan's US sales rose to 1.1 million units - a five-percent increase, and a record, at that. But the company's overall market share fell from 8.2 percent to 7.7 percent, putting the company further away from its goal of having a 10-percent stake overall.
