FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Suspects in Ghosn's Japanese escape stand trial in Turkey

ISTANBUL - Seven suspects went on trial in Turkey on Friday over their alleged involvement in former Nissan boss Carlos Ghosn's dramatic escape from Japan to Lebanon via Istanbul at the end of last year. Ghosn, once a titan of the global auto industry, had been arrested in Japan in late 2018 and charged with underreporting his salary and using company funds for personal purposes, charges he denies. The ousted chairman of the alliance of Renault, Nissan Motor Co and Mitsubishi Motors Corp had been awaiting his trial under house arrest in Japan when he made a dramatic escape in December to Beirut, his childhood home. An executive from Turkish private jet operator MNG Jet and four pilots were detained in early January soon after Ghosn's escape and charged with migrant smuggling, a sentence carrying a maximum sentence of eight years in jail. They appeared in white protective overalls, masks and gloves as a measure against the coronavirus, as the court in Istanbul began hearing their defence. Two flight attendants, charged with failing to report a crime - a charge carrying a sentence of up to one year - were also there. The first defendant to speak was a pilot on the Osaka-Istanbul flight, Noyan Pasin, who denied the charge. Prosecutors, in their indictment, had said MNG Jet operations manager Okan Kosemen - who is one of the seven on trial - knew before the Osaka flight that Ghosn would be on board and would transfer to Beirut. Kosemen, who also pleaded not guilty, said in court on Friday he was only told via phone about Ghosn's presence mid-flight from Osaka and cooperated under duress. The prosecution said Kosemen used WhatsApp to communicate with pilots before, during and after the Osaka-Istanbul flight, using terms like "luggage" and "consignment" to refer to Ghosn. The five other suspects also deny the charges, according to the indictment. SAGA SHAKES AUTO WORLD According to the indictment, Kosemen told prosecutors a price of $175,000 was agreed for the flight with a Lebanese broker and paid into MNG Jet's bank account. At the time of the incident, MNG Jet said Kosemen acted without the knowledge of the company and it had filed a criminal complaint for the illegal use of its aircraft. Japan has formally asked the United States to extradite two Americans - a former Green Beret and his son - who also stand accused of helping Ghosn flee Japan. They were arrested in Massachusetts in May.

2014 Nissan Rogue

When I first started in this whole automotive journalism biz, I held a sort of hodgepodge receptionist/gopher/production assistant role, and each morning as the staff filed in, I'd ask them how they liked whatever car they were assigned to drive the previous night. Most of my colleagues would regale me with anecdotes about how good or bad a vehicle was, but one co-worker, every single morning, would answer my query with the exact same phrase: "It was fine."
I always assumed this was just a brush-off, an "ask me again after I've had a cup of coffee" sort of response. But then I found myself in a similar moment of brevity following the launch of the 2014 Nissan Rogue earlier this week. After returning home, a friend asked me what I thought of the new Rogue, and I replied, word for word, "It was fine."
And, well, it was. Nothing worth wasting exclamation points over, good or bad. Aside from something like the interesting-to-drive Mazda CX-5 or funky-looking Jeep Cherokee, nothing in this class really tries to set the world on fire. And that, right there, is fine. Nissan doesn't need to do anything crazy with its second-generation Rogue. It just needs to offer a well-equipped crossover that's handsome, functional, efficient and priced right - sticking to the same formula that made the first-generation model so successful while offering the latest crop of creature comforts in a more modern package.
