Nissan shareholders oust Carlos Ghosn from board of directors

TOKYO — Nissan's shareholders approved on Monday the ouster from the Japanese automaker's board of its former chairman, Carlos Ghosn, who is facing allegations of financial misconduct. The approval, which was expected, was indicated by applause from the more than 4,000 people gathered at a Tokyo hotel for a three-hour extraordinary shareholders' meeting. Other votes had been submitted in advance. Ahead of the vote, Nissan's top executive apologized to shareholders for the scandal at the Japanese automaker and asked them to approve Ghosn's dismissal. Chief Executive Hiroto Saikawa and other Nissan executives bowed deeply in apology to shareholders attending the extraordinary meeting at a Tokyo hotel. Shareholders also approved the appointment of French alliance partner Renault SA's Chairman Jean-Dominique Senard to replace Ghosn. Renault owns 43 percent of Nissan. Senard, introduced to shareholders at the meeting's end, thanked them and promised to do his best to keep the automaker's performance on track. "I will dedicate my energy to enhance the future of Nissan," said Senard. The shareholders also gave a green light to removing from the board a former executive direct, Greg Kelly, who has been charged with collaborating with Ghosn in the alleged misconduct. Angry shareholders demanded an explanation for how wrongdoing on an allegedly massive scale had gone unchecked for years. The meeting was closed except to stockholders but livestreamed. One shareholder said Nissan's entire management should resign immediately. Saikawa said he felt his responsibility lay in fixing the shoddy corporate governance at Nissan first, and continuing to lead its operations. Another shareholder asked if Nissan was prepared for a damage lawsuit from shareholders since its stock price has plunged. "I deeply, deeply apologize for all the worries and troubles we have caused," Saikawa said. "This is an unprecedented and unbelievable misconduct by a top executive." He outlined the findings of an internal investigation, such as payments of a consultation fee to Ghosn's sister for 13 years. The investigation has also found too much power had been focused in one person, he said. Ken Miyamoto, 65, a Nissan shareholder, said he was disappointed. "It is really such a pity as he was a brilliant manager," Miyamoto said of Ghosn before heading into the meeting.

In recent years, the search for better fuel efficiency and smoother shifting has produced automatic transmissions with double-digit gears. Alternatively, the same quest has boosted the popularity and usage of a different type of automatic transmission without any fixed gears, the continuously variable transmission, or CVT. YouTuber Sariel's Lego Workshop recently took the time to build a CVT demonstration model out of Legos to help explain how they work. Sariel begins by showing the model's input and output shafts that are parallel to each other. Each shaft has a cone attached to it, and they are inversely placed so that the large part of one cone is next to the small part of the other cone. The two cones are connected using a rounded rubber band.  By shifting the rubber band up and down the cones, the machine changes the effective ratio between the cones. So, a 1:4 ratio can be smoothly transitioned to 4:1. No clutch is required to operate the mechanism, and it eliminates hitches or pauses between gear changes. CVTs are also advantageous over 9- or 10-speed automatics in that they are far less complex and weigh less.  To demonstrate how the CVT operates in a vehicle, Sariel used a joke about Top Gear. The original Top Gear is represented by a faster-moving car that has the rubber band around the large part of the cone on the input shaft. Ghosn took bullet train to Osaka en route to Lebanon

Japanese authorities also said on Monday they may still press for Ghosn's extradition from Lebanon to face multiple charges of financial wrongdoing, even though the country does not normally extradite its nationals. Security cameras captured Ghosn leaving his home on Dec. 29 at about 2:30 p.m. (0530 GMT) and arriving some hours later at Tokyo's Shinagawa Station, where he took the train 300 miles to Shin Osaka Station, Kyodo said, citing a person familiar with the matter. The international fugitive then went by car to a hotel near Osaka's Kansai International Airport, where he boarded a private jet at 11:10 p.m., according to the media report. Ghosn was forbidden from leaving Japan while awaiting trial on charges of financial misconduct, which he has denied, but he fled at the end of 2019 to escape what he called a "rigged" justice system. Prosecutors are now working with police to piece together Ghosn's route and find out who helped him, Kyodo said. In the government's first briefing since Ghosn skipped bail, Justice Minister Masako Mori said on Monday that as a general principle, Tokyo could request the extradition of a suspect from a country with which it has no formal extradition agreement. Such a request would need to be carefully examined based on the possibility of "guaranteeing reciprocity and the domestic law of the partner country," Mori told reporters in Tokyo.   Arrest warrant Mori did not say what would guarantee reciprocity (the idea that benefits or penalties extended by one country to citizens of another should be reciprocated). She also did not say if there were any Lebanese nationals in Japan wanted in Lebanon. Mori offered little insight into the events of Ghosn's escape to his ancestral home, repeatedly saying she could not comment on specifics because of an ongoing investigation. Japanese officials broke days of silence about the Ghosn case on Sunday, saying they would tighten immigration measures and investigate his escape thoroughly. The authorities have also issued an international notice for his arrest.
