Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

"There has been speculation in the media that my wife Carole, and other members of my family played a role in my departure from Japan. All such speculation is inaccurate and false," said the statement. "I alone arranged for my departure. My family had no role whatsoever." Sources close to Ghosn said he was prompted to flee after a recent court session in which he learned that the second of two trials would be delayed until April 2021. "They [prosecutors] said they needed another whole year to prepare for it. ... He was distressed about not being able to see or speak to his wife," one of the sources close to Ghosn said. A request to see or speak to his wife over Christmas was also denied, the sources added, part of strict conditions set on his bail. The sources said Ghosn had grown distressed that authorities were pressuring his family to draw a confession from him after his daughter and son were questioned by Japanese prosecutors in the United States in early December. Bug-eyed next-gen Nissan Titan spied testing

It's no secret that the fullsize pickup truck market is dominated by offerings from Detroit's Big Three automakers, the Nissan Titan and Toyota Tundra not able to outdo the Ford F-150, Ram 1500 or Chevy Silverado/GMC Sierra twins. A great deal of that has to do with the fact that, while the American trucks have all undergone evolutionary updates that include a range of body styles, fuel-efficient engines and excellent technology, the Japanese offerings are, well, really old. Toyota is offering an updated Tundra for the 2014 model year, and while we haven't driven it yet, we're already betting that it's still behind the pack in terms of competitiveness - the 2013 model placed fifth out of sixth in a recent PickupTrucks.com comparison test.
At the bottom of the pack lies the Nissan Titan, a truck that hasn't received any sort of substantial update since its introduction nearly ten years ago. But that's going to change - a new truck is slated to debut for the 2015 model year, and these spy shots of a Titan mule clearly show that things are moving forward.
While this tester relies heavily on the current truck's bodywork for testing purposes, the new Titan will have a revised design, some of which is evidenced by the bug-eyed front fascia of this mule. No, the production model isn't going to look all weird (we hope), but the higher, more outboard headlight placement suggests that the new truck will be a bit wider than the current model.
