Nissan board meets but doesn't pick a replacement for Ghosn

YOKOHAMA, Japan — Nissan's board met Monday but failed to pick a new chairman to replace Carlos Ghosn, who was arrested last month on charges of violating financial regulations, saying more discussion was needed. Nissan Motor Co. Chief Executive Hiroto Saikawa told reporters that the board approved a special committee of outsiders to strengthen governance at the company. A date for the selection of a chairman was not decided. "We plan to be cautious in this process, and I do not plan to rush this," Saikawa said. The recommendations for beefing up governance are due in March, and Saikawa said he was willing to wait until then to choose a chairman. The board meeting came amid an unfolding scandal that threatens the Japanese automaker's two-decade alliance with Renault SA of France and its global brand, and highlights shoddy governance at the manufacturer of the Leaf electric car. Ghosn and another board member Greg Kelly were formally charged last week with falsifying financial reports in underreporting Ghosn's income by about 5 billion yen ($44 million) from 2011 to 2015. They were arrested Nov. 19 by Tokyo prosecutors and remain in detention. A source close to Ghosn's family says Ghosn is innocent, as the alleged income was never decided upon or paid. Aubrey Harwell, the U.S. lawyer for Kelly, an American, says he is innocent, and that Nissan insiders and outside experts had advised him that the financial reporting was proper. The chairman must be selected from among the board members. Three outside board members — race-car driver Keiko Ihara; Masakazu Toyoda, an academic; and Jean-Baptiste Duzan, formerly of Renault — are making that decision. The special committee for governance includes the three outside board members and four other outsiders, including former judge Seiichiro Nishioka. One candidate for chairman is Saikawa, who was hand-picked by Ghosn to succeed him as chief executive. He has denounced Ghosn and Kelly as the "masterminds" in a scheme to falsify income reports and abuse company money and assets. Renault has kept Ghosn as chief executive and chairman, saying its investigation has not found wrongdoing in the awarding of Ghosn's compensation. Saikawa called on directors at Renault to heed its reasons for sacking Ghosn, but Renault's interim chairman Philippe Lagayette said on Friday that its board had not considered a replacement.

France could reduce its Renault stake to solidify partnership with Nissan

French Finance Minister Bruno Le Maire said France is ready to cut its stake in Renault in order to consolidate Renault's partnership with Nissan, Agence France Press (AFP) reports. Le Maire said Paris, which has a 15% stake in Renault, might consider reducing its stake, if it led to a "more solid" alliance between the Japanese and French firms, the French news agency reported, citing an interview with the minister. "We can reduce the state's stake in Renault's capital. This is not a problem as long as, at the end of the process, we have a more solid auto sector and a more solid alliance between the two great car manufacturers Nissan and Renault," he told AFP. Le Maire had earlier said the French government was open to tie-ups involving Renault as long as French industrial interests were protected, and would consider any Renault deal with Fiat Chrysler that respected the French firm's alliance with its Japanese partner Nissan. Fiat on Thursday abandoned its $35 billion merger offer for Renault, blaming French politics for scuttling what would have been a landmark deal to create the world's third-biggest automaker behind Japan's Toyota and Germany's Volkswagen. The French government had welcomed the merger plan, but overplayed its hand by pushing for a series of guarantees and concessions that eventually exhausted the patience of FCA, sources told Reuters. Ford and Lincoln design honcho leaves to head Nissan North America design

Last Friday, David Woodhouse suddenly resigned from his dual positions as Ford's director of global strategic design and director of Lincoln design. In a post not long after leaving, he praised the efforts of his former team over the past six years he headed design at Lincoln. Among other products, that crew gave us the redesigned Navigator, the Continental concept and production sedan, and the Aviator concept and production crossover. Car Design News reports Woodhouse traded Michigan for California, taking the role of VP at Nissan Design America in San Diego. He officially assumes the position July 1, and will also serve on the Japanese automaker's Global Nissan Design Management Committee. Woodhouse has spent more than 25 years in the design department, starting with BMW and work on the Mini and Range Rover brands, followed by a brief stint with Cadillac of Europe. For the past 20 years he's been with Ford, coming on board with the Ford's former luxury arm known as the Premier Automotive Group — Jaguar, Land Rover, Aston Martin, Volvo and Lincoln. He became Lincoln's design director in 2013, introducing the world to the design language labeled "quiet flight." He described the language's details as "anti-wedge body gestures, S-curves wherever possible, and an emphasis on horizontal lines at every opportunity to create leaner, longer, wider emphasis on the exteriors, and create equilibrium, balance, and calmness on the interiors." A much shorter way to describe it is: revitalized Lincolns. The U.S. luxury maker's new and overhauled products have been praised for their lines by critics and by paying customers. The brand's done so well it's hard to remember when the MKC concept was a revelation, and that goes on Woodhouse's resume, too. That's some special juju to take to Nissan, where Woodhouse will lead both Nissan and Infiniti design focused on the North American region. Nissan has a solid if uninspiring lineup that sells well here, while Infiniti, as the luxury brand, is the bigger issue. Infiniti sedans glide on the contrails of a design language more than 10 years old. The money-making crossovers and SUVs haven't made a splash in about the same time, since the long-ago FX45. Nissan's plan to update 70 percent of its lineup over the next few years and Infiniti's transition to an all-electric brand makes right now the perfect time to break into riveting designs for the street. Woodhouse replaces Taro Ueda, who moves into a global role with Nissan.
