Automakers Renault, Nissan will become equals, with equal stakes in each other

TOKYO — Nissan and Renault have agreed to equalize the stakes they hold in each other, both sides said Monday, ironing out a source of conflict in the Japan-French auto alliance. Up to now, Renault Group has held a 43.4% stake in Nissan Motor Co., potentially giving it a larger say in how the Japanese automaker is run. It will transfer shares equivalent to a 28.4% stake to a French trust so each side will hold the same 15% stake in the other, according to the companies. The disparity between the holdings was a cause of friction, especially after Nissan became far more profitable than Renault. The agreement on the change is still being finalized and needs board approval from both companies. The companies said the shares in the French trust can eventually be sold but did not say to whom or how. They said the sale will be carried out in a “coordinated and orderly process” if a deal makes commercial sense to Renault Group, and that there is no time deadline. Until then, the voting rights would be “neutralized” for most managerial decisions, but the economic rights, such as dividends, will continue to go to Renault, the companies said. The top shareholder in Renault is the French government. Japanese Prime Minister Fumio Kishida met with French President Emmanuel Macron earlier this month. The alliance has had its ups and downs since it began in 1999, when Renault sent one of its executives, Carlos Ghosn, to then-struggling Nissan to lead a turnaround. Ghosn first served as Nissan's chief executive and later its chairman before he was arrested in late 2018 on various financial misconduct charges. The alliance, which also includes smaller Japanese automaker Mitsubishi Motor Corp. and remains one of the world's top auto groups, has been eager to put the Ghosn scandal behind it. Allegations against Ghosn include underreporting income, using investment funds for personal gain and illicit use of company expenses, including overseas homes and a yacht. Ghosn said he is innocent of all charges. He jumped bail in late 2019 and is now in Lebanon, which has no extradition treaty with Japan. The equalization of the crossholdings has been speculated about for some time. The companies called the move “an important milestone.” “The ambition is to strengthen the ties of the alliance and maximize value creation for all stakeholders,” said Nissan, based in the port city of Yokohama.

Mitsubishi Motors Chairman Masuko resigns due to health reasons

Osamu Masuko (Getty Images)   TOKYO — Mitsubishi Motors said on Friday Osamu Masuko resigned as chairman due to health reasons and has handed over the role to CEO Takao Kato on a temporary basis. A veteran of the larger Mitsubishi conglomerate, Masuko joined the automaker in 2004 and became president in 2007. He oversaw the creation of the partnership between Mitsubishi and Nissan in 2016, which saw Nissan take a controlling stake in the company. The 71-year-old will stay on at Mitsubishi as a special adviser, the company said in a statement. It did not specify what Masuko was ailing from. Masuko was at the helm of Mitsubishi during a 2016 scandal in which the automaker was found to have overstated the fuel economy on its vehicles. (Getty Images)   The scandal was Mitsubishi's third in two decades, and it pummeled profits and tarnished the automaker' s brand. At the height of the scandal, Nissan lent its smaller rival a lifeline by offering the company $2.2 billion for a 34% controlling stake. The deal was agreed between Masuko and then Nissan CEO Carlos Ghosn, and brought Mitsubishi in as a junior partner in the Nissan-Renault automaking alliance. Masuko later denounced his ties with Ghosn following Ghosn's 2018 arrest in Japan over financial misconduct, charges that Ghosn has denied. All three members of the alliance are currently mired in financial problems after years of aggressive expansion policies under Ghosn's leadership resulted in falling vehicle sales. A further drop in global car demand due to the coronavirus pandemic has exacerbated these problems, and Mitsubishi, Nissan and Renault are each bracing for steep annual operating losses this year. Recharge Wrap-up: Fiat 500X emissions, Japan EV sales down

The Fiat 500X exceeds EU emissions limits, according to environmental lobby group DUH. In dyno tests, DUH found NOx emissions in the diesel-powered 500X to be 11 to 20 times the limit with a warm engine, but closer to the limit with a cold engine. Testing of vehicles from Fiat and other automakers "point towards defeat devices," says DUH campaigner Axel Friedrich. A UK study finds that about 20 percent of the benefits from fuel efficient vehicles are negated by a tendency for people to drive them more. The study, which covers the years 1970 to 2011, finds a significant "rebound effect," when consumers use more of a cheaper energy source. It suggests these drivers drive more not because of the fuel efficiency, but because of the lower operating costs. "Until now, we didn't know the size of this effect for British motoring," says Dr. Lee Stapleton, Research Fellow for the University of Sussex Centre on Innovation and Energy Demand. Japanese EV sales have declined for the first time ever. Sales of electric vehicles slid 22 percent in 2015, leaving them at the same levels as 2012. Low gasoline prices are to blame, as well as the late arrival of the updated Nissan Leaf, which caused potential customers to hold off on their purchase. This allowed the Mitsubishi Outlander PHEV to take the lead as Japan's best selling EV. The Toyota Prius Plug-In came in third place in EV sales, with the BMW i3 close on its heels.
