Carlos Ghosn: What misconduct is he accused of?

TOKYO — Japan was shocked by news that Nissan Motor Co. Chairman Carlos Ghosn, who was widely respected for rescuing the carmaker from near bankruptcy, was arrested on Monday for alleged financial misconduct. Nissan said that Ghosn, who is also chairman and CEO of Renault and chairman of Mitsubishi Motors, would be fired from his post as Nissan chairman on Thursday. What is Carlos Ghosn accused of? Nissan CEO Hiroto Saikawa told a packed press conference on Monday night that the company had found that Ghosn had been using corporate money for personal purposes and under-reporting his income for years in official company filings to the Tokyo Stock Exchange. Another board member, Greg Kelly, was also deeply involved in the misconduct, Nissan said. Saikawa said he couldn't elaborate as the cases are being investigated by prosecutors, who have declined to comment. Prosecutors said that Ghosn and Kelly conspired to understate Ghosn's compensation over five years starting in fiscal 2010 as being about half of the actual 9.998 billion yen ($88.9 million). Public broadcaster NHK said Nissan paid billions of yen to buy and renovate homes for Ghosn in Rio, Beirut, Paris and Amsterdam, citing unnamed sources. The properties had no business purpose and were not listed as benefits in TSE filings, NHK said. Ghosn, 64, has not been formally charged. The Asahi newspaper reported that he and Kelly had submitted to prosecutors' questions after getting off a plane on Monday afternoon at Tokyo's Haneda Airport. Saikawa confirmed they had been arrested. Ghosn and Kelly have not been seen since, and their exact whereabouts are not known. Suspects are typically taken to the Tokyo Detention Center, which is linked to the Tokyo District Public Prosecutors Office. How did this come to light? Nissan's Saikawa said Ghosn's alleged improprieties came to light through a whistleblower, after which the company began an internal investigation and informed prosecutors. Japanese media reports say the informant is a member of Nissan's legal department. The Asahi reported, without citing sources, that the informant gave the prosecutors information in a plea bargain, implying the person may have provided evidence in exchange for a lighter sentence. Renault-Nissan alliance reboot will kick off with five projects

Renault SA and Nissan Motor Co. are moving ahead with a plan to recalibrate a two-decades-old alliance that had weakened over time, starting with a range of industrial projects alongside an agreement to rebalance capital ties, according to people familiar with the situation. Top executives from the alliance partners held an operating board meeting on Thursday, giving a nod to bringing Nissan and Renault’s cross shareholdings to an equal level, as well as common projects as part of the reshaped cooperation, the people said. The partners also agreed on an alliance event to be held on Feb. 6 in London to present details of the plans, the people added, declining to be named discussing details before they are public. Under the landmark plan, Renault is expected to cut its 43% stake in Nissan to 15% via an orderly disposal of shares over time to eliminate lopsided capital ties that have been a source of friction for years. The tentative agreement comes after years of tension that at one point spilled over into Japanese-French politics when Renault-NissanÂ’s then-leader Carlos Ghosn weighed to merge the two companies.   The partners also agreed to continue collaborating on various industrial projects, a condition that was crucial for Renault to obtain approval for the rebalancing from its most powerful shareholder, the French government. Media representatives for Renault and Nissan declined to comment. The boards of directors of the respective companies will have to approve the agreement in meetings to be held in coming days, the people said.  Code name: ‘ReloadedÂ’ The redesigned alliance will allow Chief Executive Officer Luca de Meo to move on with a complex split of Renault into five separate businesses, including carved-out electric-vehicle business Ampere and to deepen ties with a series of other partners, including ChinaÂ’s Zhejiang Geely Holding Co. and Qualcomm Inc., the people said. “The interest for each of the partners is now to be able to move forward without, for example, RenaultÂ’s management getting distracted in endless trans-national politics,” says Stifel analyst Pierre-Yves Quemener. Failure of the talks would have been “a negative,” Quemener said.  Renault, Nissan and junior partner Mitsubishi Motors Corp. will embark on roughly five projects initially, codenamed “Reloaded,” with others to follow, the people said.

Junkyard Gem: 1987 Dodge Ram 50

Chrysler began selling Dodge-badged Mitsubishis way back in the 1971 model year, when the Mitsubishi Colt Galant became known here as the Dodge Colt. Later in the decade, a Plymouth Arrow-badged version of the Mitsubishi Triton small pickup appeared here, along with a Dodge version known as the D-50 and — a few years later — the Ram 50. Once Mitsubishi began selling the same trucks here as Mighty Maxes, starting in the 1983 model year, the Ram 50 didn't seem quite so specialÂ… and then the Dakota made its debut for the 1987 model year. Still, when the Triton went to its second generation that same year, Chrysler continued selling it as the Ram 50. Here's one of those second-generation trucks, found in a Denver-area self-service yard last month. At this point, GM had long since stopped selling Isuzu Fasters with Chevrolet LUV emblems, as had Ford with the Courier-badged Mazda Proceed (after developing the all-American S-10 and Ranger, respectively). The decision-makers at Chrysler, however, calculated that the Ram 50 could grab some sales from Dodge truck shoppers who felt that the Dakota was too big for their needs; as a result, the Ram 50 stayed on sale here through 1994. The last Mighty Maxes rolled out of American Mitsubishi showrooms in 1996. The 6G72 V6 engine became available in four-wheel-drive Ram 50s a few years after this truck was built, but in 1987 all Ram 50s came with either the 2.0-liter 4G63 Sirius or 2.6-liter Astron four-banger. This truck has the base Sirius, rated at 92 horsepower. Remember when new trucks came with double-digit horsepower ratings? Most American-market small pickups still had manual transmissions during the middle 1980s, though that would change in a hurry with the dawn of the 1990s and the drop in slushbox prices. This one has the base five-speed. Just barely 100,000 miles on the clock, very unusual for a junkyard pickup of this age (especially one with a thick coat of brush-applied white house paint on the tailgate).
