Facts point to legal violations by Carlos Ghosn, says Nissan external review
Thu, Mar 28 2019YOKOHAMA, Japan — An external committee reviewing governance at Nissan Motor Co said on Wednesday there were enough facts to suspect violations of laws and the private use of company funds by ousted chairman Carlos Ghosn. Following a three-month audit of Nissan's governance after a scandal that shook the global auto industry, the committee put the blame squarely on what it called Ghosn's concentration of power. It also acknowledged Nissan CEO Hiroto Saikawa's role in Ghosn's salary arrangement at the heart of the scandal. Twenty years to the day since French automaker Renault SA agreed to rescue Nissan, the committee described a corporate culture at Nissan "in which no one can make any objections to Mr. Ghosn," who was "in a way deified within Nissan as a savior who had redeemed Nissan from collapse." A representative for Ghosn replied in a statement that the allegations made against the former Nissan chairman "will be revealed for what they are: part of an unsubstantiated smear campaign against Carlos Ghosn to prevent the integration of the Alliance and conceal Nissan's deteriorating performance." The group issued 38 recommendations to bolster Nissan's governance, including that top executive positions at the Japanese car maker should not be held by people serving in executive positions at Renault or junior partner Mitsubishi Motors. It also proposed that the majority of directors, including the chairman of the board, be independent, outside directors and that the role of company chairman be abolished. Responding to the committee's comments, Saikawa told reporters on Thursday that Nissan would seriously consider the committee's recommendations, which he characterized as "tough." Saikawa, who was speaking outside his home, did not specifically address his responsibility in the scandal but has previously said that top management, including himself, were responsible for weak governance which led to the misconduct. The recommendations from the external, seven-member committee came weeks after Nissan and Renault said they would retool their alliance, one of the world's biggest automaking groupings, to break up the all-powerful chairmanship previously held by Ghosn. "There are facts sufficient to suspect violations of laws and regulations, violation of internal rules and private use of company funds and expenses ... by Mr. Ghosn," the committee said in its report.
Court rejects Carlos Ghosn's request to attend Nissan board meeting
Mon, Mar 11 2019TOKYO — A Japanese court has rejected a request by former Nissan chairman Carlos Ghosn, released on bail last week, to attend the Japanese automaker's board meeting on Tuesday. Nissan dismissed Ghosn as chairman after his Nov. 19 arrest, but he remains on the board. The Tokyo District Court said it rejected Ghosn's request on Monday but did not elaborate on the reasons. It had been unclear whether Ghosn could attend the board meeting. The court's approval was needed based on restrictions imposed for his release on bail. The restrictions say he cannot tamper with evidence, and attending the board meeting could be seen as putting pressure on Nissan employees. Prosecutors had been expected to argue against his attendance. They were not available for immediate comment. Ghosn has been charged with falsifying financial reports in underreporting his compensation and breach of trust in making payments to a Saudi businessman and having Nissan shoulder investment losses. He insists he is innocent, saying the compensation was never decided or paid, the payments were for legitimate services and Nissan never suffered the losses. Since his release on March 6 from Tokyo Detention Center on 1 billion yen ($9 million) bail, he has been spotted taking walks in Tokyo with his family, but he has not made any comments. His attempt to exercise what his lawyer, Junichiro Hironaka, called his "duty" by attending the board meeting signals one way he may be fighting back. Hironaka has said Ghosn will speak to reporters soon. A date for a news conference has not been announced. Nissan said Monday that Renault Chairman Jean-Dominique Senard, Renault Chief Executive Thierry Bollore, Nissan Motor Co. CEO Hiroto Saikawa, and Osamu Masuko, the chairman and CEO of Mitsubishi Motors Corp., will hold a joint news conference Tuesday after the board meeting. Nissan appears determined to highlight new leadership without Ghosn. It is part of an alliance with Renault SA of France, and more recently with Japan's Mitsubishi Motors, that was largely cobbled together by Ghosn, who led Nissan for two decades. Nissan, which makes the March subcompact, Leaf electric car and Infiniti luxury models, has denounced Ghosn for alleged misconduct. A decision at a shareholders' meeting is needed to remove Ghosn from the board. A shareholders' meeting is scheduled for next month.
Mitsubishi D:X Concept previews the next Delica off-road van
Wed, Oct 25 2023Besides the Montero/Pajero and the Lancer Evo, perhaps Mitsubishi's most famous model is the Delica. It's a minivan, but it also has serious off-road chops, and it has had them for decades. At the Japan Mobility Show, Mitsubishi showed the D:X Concept, which is a look a the future of the go-anywhere van. The look is almost that of a steroidal VW I.D. Buzz, but it works. It's chunky and aggressive, and of course it has huge tires. The single-box shape is a longstanding tradition of the Delica line for maximum interior space. Noteworthy are the laser headlights. The vertical sections can project lines ahead of the vehicle to help provide an idea of the vehicle width against the environment in tricky maneuvering at night. The interior features three rows of seats, and the seats can slide and swivel for a variety of configurations. Particularly interesting is the lack of a dashboard, as well as anything ahead of where the dash would be. Instead, a glass panel for the grille and a giant screen showing what's under and ahead of front of the vehicle take up the space. This allows for phenomenal forward visibility, especially useful off road. There is a small dash ahead of the driver and the steering wheel that blends into the door, and this is where instrumentation is displayed. Occupants also can enjoy a Yamaha-tuned sound system. Mitsubishi didn't go into much detail on the powertrain. It's a plug-in hybrid, and we wouldn't be surprised if it operates as a series hybrid like the Mitsubishi Outlander PHEV. And that of course means that the D:X still powers all four wheels, as a Delica should. Mitsubishi also didn't share any sort of production plans. But we expect that a new Delica is on the way that will at least look a lot like this concept, even if some features such as the dash-free interior might not make it.
