Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

New Mitsubishi Outlander PHEVs coming to Frankfurt

Mitsubishi is following the unveiling of the heavily refreshed 2016 Outlander at the 2015 New York Auto Show with the European debut of the plug-in hybrid version at this year's Frankfurt Motor Show. The PHEV goes on sale there in September, and a rally-prepped PHEV Outlander is taking part in the Baja Portalegre 500 in Portugal in October. Rumors suggest that the updated plug-in model might come to the US in early 2016. Mechanically, the Outlander PHEV retains separate motors to power the front and rear wheels, but the company has some revisions for the system to make it more efficient. Emissions are cut thanks to reduced engine friction, and acceleration is reportedly quicker, too. In large part, the 2016 PHEV carries over all of the styling and mechanical updates of its non-electrified sibling. That includes the completely new front end that mixes chrome and gloss black for a more interesting look. The plug-in gets a few design cues of its own, including a different shape for the lower bumpers, less chrome down the sides, and some body-color trim. It also rides on a set of two-tone 18-inch wheels. Inside, there's a four-spoke steering wheel and brown, and black leathers are available. Previously offered on the Japanese model, European customers now get access to the Outlander PHEV's vehicle-to-home power system. The tech allows owners to plug in their CUV and provide electricity to their house from the vehicle's battery. 2023 Mitsubishi Outlander PHEV gets more power, EV range

It's been quite awhile coming, but the key details of the 2023 Mitsubishi Outlander PHEV are finally here: electric range, horsepower and pricing. And they're all increases over the old model, mostly in good ways. Like before, the Outlander PHEV runs mainly as a series hybrid, with forward propulsion coming from a pair of electric motors (one front, one rear). The naturally aspirated 2.4-liter four-cylinder mainly acts as a generator, though it can provide direct power in certain circumstances. Overall output is 248 horsepower and 332 pound-feet of torque. Supplying electric power is a 20-kWh battery pack, a touch more than 6-kWh greater than the old pack. The bigger battery boosts electric range to 38 miles. Interestingly, Mitsubishi continues to also offer the ability to charge at a DC fast charger. At 38 minutes to charge to 80%, it's not especially fast compared with many modern electric cars, but it's a neat option that few plug-in hybrids offer. Overall fuel economy is rated at 64 mpg-e, which is actually worse than the outgoing model that got 74 mpg-e. We're not entirely sure what resulted in the lower overall number, since fuel economy when running on a depleted battery wasn't given. We would expect numbers close to the regular Outlander, which gets 26 to 27 mpg in combined driving depending on configuration.  The price also goes up. At $41,190, it's $2,690 more than the old model. But that seems fairly reasonable considering the additional electric range and power, not to mention the fact that the powertrain is packaged in the vastly improved new Outlander chassis with its more attractive styling and nicer interior. It also finds itself priced carefully between the slightly more expensive RAV4 Prime (which has a bit more electric range and more power) and the Ford Escape Plug-in Hybrid (which is front-drive only and just one mile less range). Both those options are more efficient overall, as is the most affordable Tucson PHEV, though it's only available in select states and has the lowest range at 33 miles. It does offer a bit more power than the Mitsubishi, though. The 2023 Mitsubishi Outlander PHEV goes on sale first in select states around November, but will be offered nationwide a little later.
