FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Nissan's purchase of Mitsubishi is officially official

After the company's announcement in May, the Nissan's purchase of a 34 percent stake in Mitsubishi is now official. The deal cost Nissan $2.3 billion, according to the Wall Street Journal, and brings Mitsubishi into the Nissan-Renault Alliance. The company explained that this new partnership will manifest itself in shared vehicle platforms and technology, joint purchasing, and shared manufacturing. Nissan also said that this purchase will make the company one of the three largest companies by volume in the world. Nissan also emphasized that Mitsubishi will very much be a partner in the current alliance with Renault. In addition, Carlos Ghosn, CEO of both Nissan and Renault, has been nominated to be the new chairman of the Mitsubishi board. With Ghosn at the head of the board, current Mitsubishi president and CEO, Osamu Masuko, will remain in his positions but Nissan's current chief competitive officer will join Masuko as co-chief executive officer at Mitsubishi. With these companies now working together, we'll probably start seeing more commonality between Nissan and Mitsubishi products here in the States. Mitsubishi rolls out new Pajero Sport in Thailand

Mitsubishi is launching the new Pajero Sport you see here, based on the latest Triton/L200 pickup introduced late last year. The new Pajero Sport (known as the Challenger in certain markets) replaces a model that's been on the market for seven years now. The midsize sport-utility vehicle is being introduced first in Thailand, but will be sold in about 90 countries around the world. Those will include Australia, Russia, and markets in the Middle East, Africa, Latin America, and Southeast Asia – regions in which Mitsubishi has sold some 400,000 units of the previous Pajero Sport. Behind the imposing new Dynamic Shield front end sits a 2.4-liter turbo diesel driving all four wheels through a new eight-speed automatic transmission. The combination is said to be a good 17 percent more economical than the previous model's. Full specs have yet to be revealed, but it's expected to produce around 180 horsepower and 317 pound-feet of torque. The new Pajero Sport also packs all the latest safety technologies, including automatic braking, blind spot monitor, and ultrasonic misacceleration systems. Rock-crawlers will also appreciate the off-road mode, hill descent control, and increased wading depth, all of which add up to make the Pajero Sport a very different kind of high-riding Mitsubishi than the new Outlander recently introduced on our side of the Pacific. Here in North America, truck-based SUVs are steadily losing ground to car-based crossovers. But overseas – particularly in the Asia-Pacific region and Australia – they're not only surviving, but thriving.
