FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Mitsubishi off-road concepts head to Tokyo Auto Salon

While the focus on this side of the Pacific has been on CES and the Detroit Auto Show, over in Japan they're gearing up for the Tokyo Auto Salon. Most of the other Japanese automakers have already shown us what they have in store for the tuner expo, and now it's Mitsubishi's turn. This year, Mitsubishi will showcase two pairs of custom creations. They're all focused on the great outdoors, but two take more of an adventuring approach while the other two are geared towards camping. Two are based on the Outlander PHEV and the other two on the Delica D5 minivan. The Outdoor Gear concepts feature matte pearl white paintjobs with orange trim, black interiors with orange trim, and mesh fabric seats with grippy suede trim. The Outlander version rides on 20-inch wheels with off-road tires, a spoiler, and a bike rack on the roof. The Delica gets a carbon-style front bumper, LED daytime running lights, brush guards, and 16-inch wheels. The Active Camper concepts feature 20-inch wheels and matte silver paint with a black camo pattern – a treatment which continues inside. Here the Outlander features a new body kit, adjustable suspension, a roof box, and 1,500 watts of auxiliary power. The Delica version features a sportier grille, brush guards, and a convertible cabin space with room for two. They'll be displayed alongside a replica of the Outlander PHEV rally machine which Mitsubishi is fielding at the Baja Portalegre 500. But these are just some of the goodies in store for the Tokyo Auto Salon this year, which promises all the JDM action you could shake a carbon-fiber stick at. The doors open at the Makuhari Messe in Chiba City on Friday and will stay open through the weekend. Renault-Nissan reportedly partnering with Waymo on self-driving cars

The Renault-Nissan-Mitsubishi alliance will tie up with Alphabet Inc's Waymo to develop autonomous taxis and other services using self-driving vehicles, the Nikkei reported on Tuesday. Google's self-driving car company Waymo will work with the carmakers and announce a plan for the arrangement as early as this spring, the business daily reported. The partners are considering the joint development of unmanned taxis using Nissan vehicles and a system that handles reservation and payments, Nikkei said. A spokesman at the Renault-Nissan-Mitsubishi alliance, Nick Twork, said, "This (Nikkei) story is based on rumors and speculation. We have nothing to announce." Waymo did not immediately reply to a request for comment. Last month, Nissan Motor Corp said its board remained committed to the carmaker's alliance with Renault SA and Mitsubishi Motors Corp, after directors met to discuss the ongoing investigation into former chairman Carlos Ghosn and ways to bolster governance. Among the companies developing autonomous driving technology, Waymo is considered to be far in the lead in terms of test-fleet miles driven. It operates hundreds of vehicles in 25 U.S. locations, and is already operating a taxi service with paying customers in Chandler, Ariz. Related Video:
