Ford family keeps special voting rights

Ford Motor Company has a dual-class stock structure of Class A and Class B shares. The roughly three billion Class A shares are for the general public like you and me, while the roughly 71 million Class B shares are all owned by the Ford family. Each Class A share gets the shareholder one vote, each Class B share is worth 16 votes, the result being that Common Stock holders control about 60 percent of the company while the Ford family controls 40 percent even though it holds far fewer shares. The only way that could ever change would be if the Fords sell their Class B shares, but even so, Class B shares revert to Class A when sold outside the family, so they'd have to sell a whole bunch of them.
A contingent of Class A shareholders think the dual-class system is unfair, and for the past few years a vote's been held during the annual shareholders meeting to end it. It has failed every time, as it just did again during the meeting held this week. A smidge over 33 percent voted to end the dual system, outvoted by the 67 percent who are happy with the way Ford is going - unsurprising in view of a corporate turnaround that will be part of business-class curricula for years to come.
On the sidelines, Ford elected Ellen R. Marram to the post of independent director, the first woman to hold the job. The former Tropicana CEO and 20-year Ford board member replaces retiring board member Irvine Hockaday who helped bring Alan Mulally to the CEO position.

BMW is testing AdBlue pumps in Germany. AdBlue fluid is used to remove NOx from diesel exhaust, and it is stored in its own tank within the vehicle. Filling AdBlue is easy enough for drivers to do it themselves, and with the proliferation of diesel vehicles in Europe, a pump filling system could make more sense than using the current hand-held containers. BMW is testing AdBlue pumps at three fueling stations in Munich and Berlin to help develop further AdBlue dispenser technology. Read more at Green Car Congress. Drivr Green Personal Transportation is a Tesla taxi service in Cincinnati. Two former employees of Tesla Motors founded the startup, which bills itself alongside ride-hailing services like Uber and Lyft. Customers book a ride online, and are picked up by a Tesla Model S. The ride costs $2.50 per mile with a $15 minimum. Drivr currently operates three cars with seven drivers, with plans to lease another 10 Teslas and employ up to 30 drivers. Ford is opening a research and development facility in Silicon Valley. The Ford Research & Innovation Center, which will be located less than three miles from Tesla Motors headquarters in Palo Alto, California, is expected to be one of the automotive industry's largest R&D facilities. Law firms advising Fisker Automotive have been denied a $2.50-million fee enhancement in the car company's bankruptcy. Brown Rudnick LLP and Saul Ewing LLP were denied the extra fees, as a Delaware bankruptcy judge ruled there is "no evidence" that the firms provided anything more than what they originally expected. In denying the fee enhancement, the judge cited a "very high bar" for such awards. Read more at Law360. Ford to ramp up Lincoln rollout in China in bid to catch rivals

DETROIT/BEIJING — Ford Motor Co's premium Lincoln brand plans to build as many as five new vehicles in China by 2022, according to two U.S. sources, in a move to expand sales in the world's largest vehicle market that would also blunt the impact of trade U.S.-China trade spats. Ford has said it plans to build an all-new sport utility vehicle in China by the end of 2019, however the company has not detailed future production plans for the Lincoln brand in China beyond that. "Our localization plans to support the China market are on track and will serve to further drive Lincoln's growth in China," Lincoln spokeswoman Angie Kozleski said. "Beyond that, it would be premature to discuss our future product and production plans or timing." Sources familiar with Ford's production plans told Reuters the automaker now expects to begin building the new Lincoln Aviator in China in late 2019 or early 2020, along with replacements for the MKC compact crossover and the MKZ midsize sedan, followed in 2021 by the all-new Nautilus, which replaces the Lincoln MKX crossover. A fifth model, a small coupe-like crossover, is tentatively slated for production in China in 2022, the sources said. Ford has much to lose if the war of words over trade between China and U.S. President Donald Trump escalates into a full-blown tariff war. Last year, it shipped about 80,000 vehicles to China from North America, more than half of them Lincolns to support the brand's growth. All Lincoln vehicles that Ford now sells in China are brought in from North America. Even if China does reduce its 25 percent tariff on imported vehicles - as Chinese President Xi Jinping promised on Tuesday - it is not clear that would mean a big, long-term increase in Fords and Lincolns made in U.S. factories heading to Chinese showrooms. Ford is pursuing long-range plans to build more vehicles in China to serve a market that is now roughly 60 percent larger than the U.S. market, and projected to keep growing. But it is playing catch up to hometown rival General Motors Co and German luxury brands including Audi, BMW and Mercedes-Benz, which have invested heavily in Chinese production in recent years as a form of insurance against trade, political and currency gyrations and to lower price points for their premium cars.
