Fiat board makes Chrysler merger official, approves $5.4B bond sale

Fiat's board of directors has officially approved the merger plan that will see the conglomerate's automotive operations merged with Chrysler into the new Fiat Chrysler Automobiles.
The plan essentially provides a road map for the structure of the new company. It includes provisions for Fiat shareholders - one Fiat share will translate to one share of FCA common stock. The new company will also include a loyalty voting structure, which will provide for shareholders of Fiat stock or those that have held FCA stock for at least three years. According to the plan, these shareholders would see their voting power double, with two votes for every share of FCA's common stock. The overall merger plan still needs to be approved by the company's shareholders.
In other Fiat-related news, the company's board has announced a bond issuance of four billion euro ($5.4 billion). The new bonds should provide the company with a degree of flexibility in refinancing debts associated with the merger plan.

Dodge Grand Caravan to live in fleets through 2017

After a hard-working career of hauling around families for decades, the Dodge Grand Caravan name was set to retire in 2016 under FCA's five-year plan for the US. The decision would have put all of the automaker's focus behind the next-generation Chrysler Town & Country, but that original strategy might have changed. Now, Dodge's minivan may have to work just a few more years before it can finally shuffle off. There are set to be 2016 and 2017 model year examples of the current Grand Caravan, according to an internal FCA production document obtained by Automotive News. This report suggests no changes in the minivan between those two years, and there's no mention of the company's intentions deeper into the future. "While we've announced the Grand Caravan will eventually be the minivan that goes away, we're not going into more detail at this time," a Dodge spokesperson said to AN. For the next Town & Country, production would start in Windsor, Ontario, in late February 2016. This document also suggests a brief run of 2016 Chrysler minivans based on the current model from August 2015 until February 2016. Automotive News speculates that the reprieve for the Grand Caravan could allow that model to focus on fleets and the Canadian market while the new Town and Country gets up and running. The latest generation T&C will reportedly debut at the 2016 Detroit Auto Show and will possibly carry a higher price to befit a vehicle with a more modern platform and improved tech.

Facelifted 2019 Fiat 500X features new lights front and rear

Jeep has been testing an updated 2019 Jeep Renegade, so it should come as no surprise that its Fiat-badged cousin, the 500X, is also going to be refreshed for 2019. The new Fiat has finally been spotted, testing alongside the Jeep, and it's going to be a mild update. Most of the changes appear to be in the lights. Up front, the headlights and the fog lights appear to be sleeker. The main headlights have been slimmed down a bit. The fog lights have shrunk all around and have lost a little bit of the roundness of the current model. At the back, the taillights retain the same shape, but they have much more depth now. Instead of having a smooth round plastic housing, the lights are concave, starting with a red outer ring. Inside that is a clear ring that may be turn signals and/or reverse lights. Then, in the center, at the deepest level, is a light we're not totally able to identify. It does appear to have lights arranged in a plus shape. It may just be a basic taillight that stays on with the headlights. We expect the 500X to be revealed sometime this year. Considering how little is changed on the outside, we're not expecting any major changes to the powertrain, which includes either a turbocharged 1.4-liter four-cylinder or a naturally aspirated 2.4-liter four-cylinder. The former is currently only available with front-wheel drive and a six-speed manual, and the 2.4-liter engine is available with front- or all-wheel drive but only with a nine-speed automatic.
