Stellantis mega-merger gets approval from FCA, PSA shareholders

MILAN — Shareholders of Fiat Chrysler and PSA Peugeot decisively voted Monday to merge the U.S.-Italian and French carmakers to create worldÂ’s 4th-largest auto company. Addressing separate meetings, both PSA Peugeot CEO Carlos Tavares and Fiat Chrysler Chairman John Elkann spoke of the “historic” importance of the vote, which combines legacy car companies that helped write the industrial histories of the United States, France and Italy. Before the merger is finalized, shares in the new company, to be called Stellantis, must the launched. It will be traded in Milan, New York and Paris. The marriage of PSA Peugeot and Fiat Chrysler Automobiles is built on the promise of cost-savings in the capital-hungry industry, but what remains to be seen is if it will be able to preserve jobs and heritage brands in a global market still suffering from the pandemic. The deal will create the worldÂ’s fourth-largest carmaker, with the capacity to produce 8.7 million cars a year, behind Volkswagen, Toyota and Renault-Nissan, and create 5 billion euros in annual synergies.  “We are fully aware of the fact that together we will be stronger than individually,'' PSA CEO Carlos Tavares told a virtual gathering of eligible shareholders. “The two companies are in good health. These two companies have strong positions in their markets.” The new company will put together under one roof French mass-market carmakers Peugeot and Citroen, top-selling Jeep and Italian luxury and sports brands Maserati and Alfa Romeo - pooling companies that have helped define the industry in the United States, France and Italy. While the tie-up is billed as a merger of equals, the power advantage goes to PSA, with Tavares running Stellantis and holding the tie-breaking vote on the 11-seat board. Tavares is set to take full control of the company early this year, possibly by the end of January. Fiat Chrysler chairman John Elkann, heir to the Fiat-founding Agnelli family and Fiat ChryslerÂ’s biggest shareholder, will be the Stellantis chairman. Fiat Chrysler CEO Mike Manley will head North American operations, which is key to Tavares' long-time goal of getting a U.S. foothold for the French carmaker he has run since 2014, and the clear money-maker for Fiat Chrysler. Such a deal was long wanted by Fiat ChryslerÂ’s long-time CEO Sergio Marchionne, who had predicted the necessity of consolidation in the industry. He was unable to find a deal before his sudden death in July 2018.

Dubbed the Hellcat X after the XF6F, a twin-charged US Navy prototype that evolved into the Hellcat fighter from World War II. Its 6.2-liter, supercharged V8 has been supplemented by a turbocharger, boosting output to 805 horsepower. Because, you know, 707 just wasn't quite enough. It should be noted that the Hellcat X isn't a production model – Fiat Chrysler isn't going to be putting a twin-charged Hemi into production – but that it's a one-off job built for the 2015 Chrysler Nationals at Carlisle. Joining the Hellcat X is a handsome, black 1970 Challenger 440 R/T. Complete with a four-barrel carburetor (yeah, we were hoping for a Six Pack, as well), a pistol-grip shifter, and menacing black paint, this exact car was the star of 2012's "Revolution Reborn" television spot. And if this car's on-air claim to fame isn't enough, rest easy knowing you're the owner of just one of 100 black 440 R/Ts produced in 1970. Now, single tickets do start at $3, although there are larger bundles available, including a $5,000, 6,000-ticket package. Proceeds from the drawing, which is being put on by Dream Giveaway, will go towards New Beginning Children's Home charity, which issues grants to everything from the National Guard Educational Foundation to Mothers Against Drunk Driving. 2015 Dodge Challenger gets 6.4L 485-HP V8 Scat Pack

While it's not seeing the drastic facelift of its brother, the Charger, at the 2014 New York Auto Show, the 2015 Challenger is packing some upgrades of its own. It wears even more retro-inspired styling cues, and there are new 6.4-liter Scat Pack and Shaker trims.
If you thought the Challenger looked retro before, Dodge is taking things even farther with inspiration for the refresh coming from the iconic 1971 model. Up front, it has a new split grille, a larger power bulge in the hood and projector fog lights. At the rear, the classic inspiration continues with split LED taillights with Gloss Black trim, and a rear valance panel redesigned to make the 2015 model look wider and lower.
The '71 motif is carried inside as well with a high-sill center console and aluminum gauge bezels. There's still more than a touch of modernity, with an available 8.4-inch Uconnect infotainment system and 7-inch customizable display between the retro-inspired speedometer and tachometer. For better safety, the Challenger is also now available with forward collision warning, adaptive cruise control, blind-spot monitoring and rear cross path detection. Stability control and electric power steering are standard across all models too.
