Fiat Chrysler, Peugeot owner PSA reportedly in merger talks

Fiat Chrysler and Peugeot owner PSA are in talks to combine in a deal that could create a $50 billion automaker, the Wall Street Journal reported on Tuesday, citing sources. The deal could be in the form of an all-stock deal, the report said. Fiat Chrysler shares rose sharply after the report and were up more than 7% in late afternoon trading. Fiat Chrysler and Peugeot had no comment. Investors have speculated for several years that Fiat Chrysler was hunting for a merger partner, encouraged by the rhetoric of the company's late chief executive, Sergio Marchionne. In 2015, Marchionne outlined the case for consolidation of the auto industry, and tried unsuccessfully to interest General Motors in a deal. Peugeot and Fiat Chrysler had discussed a combination earlier this year, before Fiat Chrysler proposed a $35 billion merger with French automaker Renault SA. Fiat Chrysler Chairman John Elkann broke off talks with Renault in June after French government officials intervened, and pushed for Renault to first resolve tensions with its Japanese alliance partner, Nissan. Following the collapse of the Renault merger plan, Fiat Chrysler CEO Mike Manley left the door open for talks with would-be partners, but said the Italian-American automaker could go it alone despite mounting costs to develop electric vehicles and comply with tougher emissions rules in Europe, the United States and China. Peugeot CEO Carlos Tavares dismissed the idea of a combination with Fiat Chrysler during a discussion with reporters at the Frankfurt auto show last month. "We don't need it," Tavares said when asked whether he was still interested in a deal with Fiat Chrysler. Fiat Chrysler has a commercial vehicle partnership with Peugeot.

When a car brand gets the axe from its owners, it's not as easy as flipping a switch. Sometimes models of that brand still sell enough to be worth carrying on under the original name. That was the difficulty presented by the deletion of the Plymouth marque by Chrysler after the 2001 model year; sales of the Plymouth Neon could continue here (for a few more years) with Dodge badges, as had been the case all along, but what about the still-popular Plymouth Voyager minivan? As the most proletarian of the Town & Country/Caravan/Voyager minivan triumvirate, the Voyager name had been on Plymouth minivans since 1984 and on full-sized Plymouth siblings of the Dodge Tradesman/Sportsman since 1974. So, when an updated Chrysler minivan arrived for the 2001 model year, the Voyager name lived on — briefly — as the lowest trim level of Chrysler-badged minivans. Here's one of those rare machines, found in a Denver boneyard recently. For the 2001 through 2003 model years, the Dodge Caravan lived in the middle of the Chrysler Corporation minivan prestige pyramid, flanked by the Chrysler Voyager below and the Chrysler Town & Country above.  In the European market, of course, Chrysler Voyagers (and Chrysler Neons) were sold for decades. This is the pushrod 3.3-liter V6 engine, originally developed as a more powerful alternative to the Mitsubishi V6s that went into so many Chrysler vehicles during the 1980s and 1990s. This one was rated at a respectable 180 horsepower. You could get a manual transmission in US-market Voyagers and Caravans through the 1995 model year, but the days of three-pedal Chrysler minivans were long gone for American car shoppers by the dawn of our current century. So, it's a gem from a historical standpoint but not exactly the sort of vehicle that inspires the howls of outrage from enthusiasts over, say, a discarded Lotus Esprit or Jensen Interceptor. 4 ways FCA-PSA merger could be a plus

DETROIT — In a merger deal announced overnight, Fiat Chrysler stands to gain electric vehicle technology while PSA Peugeot Citroen could benefit from a badly needed dealership network to reach its goal of selling vehicles in the U.S. The merger would create the world's fourth-largest automaker with a combined market value of around $50 billion. Neither company would comment. Experts say the two automakers will be able to share car, SUV and commercial vehicle designs, helping each other fill weaknesses and share costs that will make them a strong global player. "We view the combination of these two companies as reasonable given global competition, high capital intensity, and industry disruption from electrified powertrain as well as autonomous technologies," Morningstar analyst Richard Hilgert wrote in a note to investors. Here are four areas that could be crucial to the two automakers' success: Technology For years, Fiat Chrysler has lagged its rivals in electric vehicle technology, with its former CEO once trying to discourage people from buying its only fully electric car in the United States, the Fiat 500E, because he lost money on each sale. The company has made progress on gas-electric hybrids and may have plans for more fully electric vehicles, but PSA has valuable technology that FCA can use, said Navigant Research analyst Sam Abuelsamid. Peugeot was relatively late to the electric vehicle game but is now working fast to catch up, notably with fellow French rival Renault. CEO Carlos Tavares has made a point of stressing the company's need to adapt to changing technology at car shows and earnings calls. Last year he announced plans to offer 40 electric models across its lineup by 2025. "Electrification hasn't been a huge part of their play up until now," Abuelsamid said. "Between the two of them, I think they could generate some scale for whatever they're doing, sharing component costs, development costs across electrical platforms," he said. More electric vehicles also would help FCA meet pollution and fuel economy regulations in Europe. As far as autonomous vehicles, neither company is among the leaders, Abuelsamid said. But that's a technology that's years into the future, giving them time to share the huge expenses and catch up together. FCA also has alliances with other companies such as Google spinoff Waymo that could bring autonomous vehicle technology to the market when ready, Abuelsamid said.
