Feds accuse Fiat Chrysler, UAW of conspiring to break labor laws

DETROIT — Top officials of Fiat Chrysler Automobiles and the United Auto Workers union conspired to violate U.S. labor laws, federal prosecutors alleged in a court document, saying a former executive at the automaker knew bribes paid to union leaders were designed to "grease the skids" in labor negotiations. U.S. Justice Department officials for the first time called the company and the union "co-conspirators" in a document related to a guilty plea agreed by former Fiat Chrysler director of employee relations Michael Brown. The document was filed with the U.S. District Court in Detroit on May 25. Its contents were reported by the Detroit News on Wednesday. Brown pleaded guilty to one count of concealing a felony. The plea agreement stated that he knew Fiat Chrysler executives authorized $1.5 million in improper payments and travel, liquor, cigars and other goods for UAW officials who served on the union's negotiating committee. Prosecutors say FCA executives paid UAW representatives to influence union business. including collective bargaining on contracts ratified in 2011 and 2015. The government contends money was run through the UAW-Chrysler National Training Center, via false charitable donations and training center credit cards. Fiat Chrysler Chief Executive Officer Sergio Marchionne has said in the past that the misconduct "had nothing whatsoever to do with the collective bargaining process" and the "egregious acts were neither known to nor sanctioned" by the company. Fiat Chrysler had no further comment Monday. Outgoing UAW President Dennis Williams told union leaders at a conference in Detroit on Monday "our leadership team had no knowledge of the misconduct — which involved former union members and former auto executives — until it was brought to our attention by the government." Brown pleaded guilty on May 25, according to court documents, and will be sentenced on Sept. 20. Five other people have pleaded guilty in the government's ongoing investigation into the UAW and Fiat Chrysler, including the wife of a late UAW official, two other former UAW employees, former Fiat Chrysler vice president Alphons Iacobelli and another former Fiat Chrysler employee. Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. 2015 Chrysler 200 snags EPA ratings of 18 mpg city and 29 highway

While Chrysler hasn't officially announced fuel economy figures for its new 200 sedan, the information for one model has just leaked out thanks to the US Department of Energy's FuelEconomy.gov website. It certified the 200 with the 295-horsepower and 262-pound-feet 3.6-liter Pentastar V6, nine-speed automatic and all-wheel drive as getting 18-miles-per-gallon city, 29-mpg highway and 22-mpg combined.
Last year's front-wheel drive 200 with a less-powerful version of the Pentastar was rated at 19-mpg city, 29-mpg highway and 22-mpg combined. That means that buyers are getting more power and all-wheel drive traction at almost no loss in economy. However, compared to current, all-wheel drive sedan competitors, the Chrysler comes in the middle. The Ford Fusion with all-wheel drive with the 2.0-liter EcoBoost four-cylinder has 240 hp and 270 lb-ft of torque is somewhat down on power but bests it in economy at 22-mpg city, 31-mpg highway and 25-mpg combined. The current Subaru Legacy 3.6R loses in both metrics with 256 hp and 247 lb-ft and a rating of 18-mpg city, 25-mpg highway and 20-mpg combined. However, Subaru claims the next generation with the same engine will boast 20-mpg city, 28-mpg highway and 23-mpg combined. But these numbers are just estimates from the automaker at the moment, and they haven't yet been certified by the EPA yet.
The numbers for the four-cylinder and front-wheel drive 200 drivetrains are not yet available, but Chrysler has been promising the sedan gets an estimated 35-mpg highway with the 184-hp and 173-lb-ft Tigershark 2.4-liter four-cylinder engine. We won't know for sure until it's certified, but we'll keep you posted.
