Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. Detroit automakers observing 8:46 of silence to mark Juneteenth

(file photo - GM)     All three Detroit automakers are observing Juneteenth, a day commemorating the end of slavery, on Friday by observing 8 minutes and 46 seconds of silence, among other companywide efforts to advance the causes of social and racial justice and equality. Juneteenth marks the date, June 19, in 1865 when Union soldiers, led by Maj. Gen. Gordon Granger, arrived at Galveston, Texas, and announced the Civil War had ended and enslaved African Americans were to be freed. President Abraham Lincoln had officially ended slavery more than two years prior via the Emancipation Proclamation, but Union forces didn't reach Texas until that time, so there was virtually no enforcement. The 8:46 timestamp is significant because it was the length of time that a police officer in Minneapolis knelt on the neck of George Floyd during an arrest, ultimately killing him and sparking waves of protests across the U.S. and overseas. Autoblog asked automakers about their plans to mark Juneteenth, what they were doing to advance the cause of social justice for Black people, and how many African Americans they employ in both blue- and white-collar jobs. We heard back from GM, Ford, Fiat Chrysler and Honda but not from Nissan and Toyota. General Motors GM’s U.S. workforce is 17.2% Black and 69.2% white, according to its most recent corporate Diversity and Inclusion Report. GM's total global employment is 173,000, and it says women and minorities represent 40% of its team of corporate officers. For reference, the Census Bureau says African Americans make up 13.4% of the U.S. population of roughly 328 million people. White people constitute 76.5%. As previously reported, GM planned to pause production at its factories on each shift today and observe silence for 8 minutes and 46 seconds. The company will also have a digital countdown clock atop the GM's headquarters in Detroit for the moment of silence. Additionally, Chairman and CEO Mary Barra has said she will lead a new Inclusion Advisory Board made up of people from within and outside GM to suggest areas for change and hold the company to its commitments to fight injustice and racial inequality.

Wolverine will drive weird custom Chrysler 300 in next X-Men movie

Fiat Chrysler loves a movie tie-in. Remember the Stormtrooper-spec Dodge Charger we messed around with? Then there was the Jeep Renegade Dawn of Justice special edition, built for Batman v. Superman. And now, it looks like the company donated a misshapen Chrysler limo for the latest film in the Wolverine series. Some movie-stalking paparazzi caught Hugh Jackman next to this odd vehicle, and you can see photos at Just Jared, a celebrity gossip site. The photogs were more concerned with the graying star, who's reprising his role as the adamantium-boned superhero for the ninth time including cameos, but we'll focus on the machine. We can see the car's rear three-quarters and not a lot else. It looks broadly based on the 300, but much longer. The Chrysler winged badge is clearly visible on the trunk, while a retro script version of the automaker's logo sits on the rear pillar. There's also an unexplained "E8" badge to the right of the driver's side taillight. And as for those lamps, it's like FCA mashed together the current 300's taillights with those from a Cadillac CT6. The trunk and rear window are the strangest elements of all. We can't figure out what's happening with the tiny rear glass, the strange curve to it, or the tiny, sloping rear deck. It's ... not pretty. From the rest of what's visible, it's clear this particular car is a limo of some kind. The front end has been modified with fat fender flares sitting over some big multispoke wheels, and the door handles have been shaved. Behind the B-pillar, it gets weird. There's a long stretch of glass and bodywork, and then a very small rear door. Ingress and egress would be tough, to say the least. There's a lot of brightwork, too, from the wheels to the thick chrome strip running below the greenhouse and onto the hood. A couple of the images give a glimpse into the interior, which is wholly different from that in the production 300. We've embedded a tweet with some of the images below.
