Chrysler purchases remaining shares from VEBA Trust, announces funding plan

It's official: The Detroit Three is now The Detroit Two and The Fiat Subsidiary, Chrysler. Both the Italian carmaker and The Pentastar announced the completion of cash payments and a Memorandum of Understanding (MOU) on future payments necessary to make the Chrysler Group a wholly-owned subsidiary of Fiat. As previously detailed, Chrysler made a cash payment of $1.9 billion and Fiat North America made a cash payment of $1.75 billion to the Voluntary Employment Benefit Association (VEBA) run by the United Auto Workers union.
On top of that, Chrysler Group signed an MOU that agrees to payments of $700 million to the VEBA in four installments, the first of which was made concurrently with the other cash payments. Fiat Chrysler completes sale of Magneti Marelli

Fiat Chrysler Automobiles completed its sale of components maker Magneti Marelli to CK Holdings Co., Ltd., the holding company of Calsonic Kansei Corporation. The Japanese parts supplier paid $6.5 billion (5.8 billion euros), which is a bit less than the $7.1 billion deal that was initially announced in October of 2018. According to Reuters, the price was adjusted based on Magneti Marelli's estimated financial position as of the closing date. The influx of cash allowed FCA to offer a special cash distribution to its shareholders for the first time in a decade. At ˆ1.30 per share, the payout corresponds to a total distribution of approximately ˆ2 billion. The dividend will pay out on May 30. "FCA remains committed to Magneti Marelli, with the new company continuing as a key supplier," FCA CEO Mike Manley said in a statement. "This sale also recognizes the full strategic value of Magneti Marelli, improving our financial position, delivering value to our shareholders and allowing us to enhance our focus on our core product portfolio." 2015 Ram 1500 Rebel is rugged, oddly styled

Feeling rebellious? Ram has you covered for 2015 with its new 1500 Rebel model, which, though nowhere near as focused as the Ford F-150 Raptor with which you may think it competes, is skewed toward the always-nebulous "outdoor lifestyle" set that marketing teams the world over seem to covet so much. For such hiking/camping or otherwise outdoorsy types, the Ram Rebel offers an extra inch of suspension travel over regular-grade 1500 models, along with 33-inch tires, a new bumper that affords a better approach angle, tow hooks and a center skid plate. Those are the kind of upgrades many buyers consider mandatory for basic off-road capability, and it's nice that Ram has baked them into a single model. We're less enthused by the in-your-face styling of the rebel, particularly up front, where the traditional crosshair grille has been replaced by a protruding proboscis that's nothing if not unique. There's also massive RAM lettering on the tailgate, just in case you weren't sure who made the Rebel... The show truck's red exterior is mimicked inside, and the leather seats are embossed in a tire-tread pattern. Subtle, it is not. Buyers will have the choice of a 3.6-liter V6 or 5.7-liter Hemi V8 engine, mated to an automatic transmission and the choice of two- or four-wheel drive, though we don't understand why anyone would choose a Rebel without 4x4.
