Stellantis mega-merger gets approval from FCA, PSA shareholders

MILAN — Shareholders of Fiat Chrysler and PSA Peugeot decisively voted Monday to merge the U.S.-Italian and French carmakers to create worldÂ’s 4th-largest auto company. Addressing separate meetings, both PSA Peugeot CEO Carlos Tavares and Fiat Chrysler Chairman John Elkann spoke of the “historic” importance of the vote, which combines legacy car companies that helped write the industrial histories of the United States, France and Italy. Before the merger is finalized, shares in the new company, to be called Stellantis, must the launched. It will be traded in Milan, New York and Paris. The marriage of PSA Peugeot and Fiat Chrysler Automobiles is built on the promise of cost-savings in the capital-hungry industry, but what remains to be seen is if it will be able to preserve jobs and heritage brands in a global market still suffering from the pandemic. These two companies have strong positions in their markets.” The new company will put together under one roof French mass-market carmakers Peugeot and Citroen, top-selling Jeep and Italian luxury and sports brands Maserati and Alfa Romeo - pooling companies that have helped define the industry in the United States, France and Italy. While the tie-up is billed as a merger of equals, the power advantage goes to PSA, with Tavares running Stellantis and holding the tie-breaking vote on the 11-seat board. Tavares is set to take full control of the company early this year, possibly by the end of January. Fiat Chrysler chairman John Elkann, heir to the Fiat-founding Agnelli family and Fiat ChryslerÂ’s biggest shareholder, will be the Stellantis chairman. Fiat Chrysler CEO Mike Manley will head North American operations, which is key to Tavares' long-time goal of getting a U.S. foothold for the French carmaker he has run since 2014, and the clear money-maker for Fiat Chrysler. Such a deal was long wanted by Fiat ChryslerÂ’s long-time CEO Sergio Marchionne, who had predicted the necessity of consolidation in the industry. He was unable to find a deal before his sudden death in July 2018.

Fiat Chrysler to get $105M fine from NHTSA for recall woes

The National Highway Traffic Safety Administration is about to send a powerful message to automakers doing business in the United States, assuming reports of an upcoming $105 million fine against Fiat Chrysler Automobiles comes to fruition. In addition to the record-setting monetary fine, according to The Wall Street Journal, FCA will have to accept an independent auditor that will monitor the company's recall and safety processes and will be forced to buy back certain recalled vehicles. In other cases, such as with Jeep Grand Cherokee and Liberty models with gas tanks that could potentially catch fire in certain types of accidents, FCA will offer financial encouragement for owners to get their recall work done or to trade those older vehicles in on new cars, according to the report. FCA could reportedly reduce its fines if it meets certain conditions, though those remain unclear at this time. These actions against FCA are being taken after NHTSA began a probe into the automaker over almost two dozen separate instances where the government claims FCA failed to follow proper procedures for recalls and safety defects. Included in those safety lapses are more than 11 million vehicles currently in customer hands. These penalties and fines are separate from the investigation over security problems with Chrysler's Uconnect system that allowed hackers to obtain remote access into key vehicle systems in 1.4 million vehicles. Junkyard Gem: 2002 Chrysler PT Cruiser with 5-speed manual transmission

Before we get started on today's Junkyard Gem, let's talk about what I mean by the word "Gem" in this context, because I've been getting a lot of hate mail from readers foaming at the mouth with rage because I dared to refer to such cars as the Pontiac Sunfire or Subaru Tribeca by that name. When I say "Gem" I mean it in the historical sense, not because I think a particular vehicle is a generally superior machine. OK? Now we can talk about a real junkyard rarity: a PT Cruiser with a manual transmission. Chrysler sold PT Cruisers in Europe and Japan, where manual transmissions are preferred, and the 5-speed manual was the base transmission in the North American-market PT Cruiser all the way up until the 2009 model year. However, most American and Canadian PT Cruiser buyers proved willing to spend the extra money to get an automatic transmission, because... well, PT Cruiser. I found this car in a wrecking yard in the San Francisco Bay Area, which is such a hotbed of amateur racing and restoration of old British and Italian sports cars that perhaps residents have a slightly greater appreciation for three-pedal cars than Americans in general. With 150 horsepower moving 3,123 pounds— essentially a slightly bigger Neon — this car would have been more fun to drive than most minivans. Later on, Chrysler dropped Neon SRT4 drivetrains into PT Cruisers, creating the 215-horse GT Turbo PT Cruiser. We think a bustleback body kit would go well with one of those cars.
