Fiat Chrysler, Peugeot owner PSA reportedly in merger talks

Fiat Chrysler and Peugeot owner PSA are in talks to combine in a deal that could create a $50 billion automaker, the Wall Street Journal reported on Tuesday, citing sources. The deal could be in the form of an all-stock deal, the report said. Fiat Chrysler shares rose sharply after the report and were up more than 7% in late afternoon trading. Fiat Chrysler and Peugeot had no comment. Investors have speculated for several years that Fiat Chrysler was hunting for a merger partner, encouraged by the rhetoric of the company's late chief executive, Sergio Marchionne. In 2015, Marchionne outlined the case for consolidation of the auto industry, and tried unsuccessfully to interest General Motors in a deal. Peugeot and Fiat Chrysler had discussed a combination earlier this year, before Fiat Chrysler proposed a $35 billion merger with French automaker Renault SA. Fiat Chrysler Chairman John Elkann broke off talks with Renault in June after French government officials intervened, and pushed for Renault to first resolve tensions with its Japanese alliance partner, Nissan. Following the collapse of the Renault merger plan, Fiat Chrysler CEO Mike Manley left the door open for talks with would-be partners, but said the Italian-American automaker could go it alone despite mounting costs to develop electric vehicles and comply with tougher emissions rules in Europe, the United States and China. Peugeot CEO Carlos Tavares dismissed the idea of a combination with Fiat Chrysler during a discussion with reporters at the Frankfurt auto show last month. "We don't need it," Tavares said when asked whether he was still interested in a deal with Fiat Chrysler. Fiat Chrysler has a commercial vehicle partnership with Peugeot.

Samsung Galaxy Note 7 disaster endangers FCA's Magneti Marelli sale

Samsung's financial and public relations positions are going up faster than one of the company's Galaxy Note 7 smartphones, and that's bad news for Fiat Chrysler. FCA was in talks with the South Korean tech giant to sell all or a portion of Magneti Marelli, the enormous Italian parts supplier. The deal, estimated to be in the $3 billion range, was a big part of FCA CEO Sergio Marchionne's five-year plan to slash his company's ˆ5.5 billion ($6.07 billion at today's rates) debt. But Samsung's flaming phones may have stalled the deal, Automotive News reports. Samsung was hoping to acquire all or part of Magneti to gain access to its lighting, in-car entertainment, and telematics business, all in a bid to reduce its reliance on occasionally explosive consumer electronics, AN's sources report. This week alone, Samsung permanently ended production of the Note 7 and began recalling millions of devices, sending out flame-proof return boxes so owners can ship the device back in relative safety. The disaster has already caused Samsung to slash its third-quarter operating profit by $2.3 billion, and is leading the company to divert its attention away from big, blockbuster deals, people "who asked not to be identified because the negotiations are private" told AN. According to the same sources, the two sides haven't even agreed on a valuation for Magneti Marelli. Neither company was willing to comment on the potential sale. Trump is pleased with FCA's investment in Michigan and Ohio, but it wasn't done for him

Fiat Chrysler announced yesterday that it would be spending $1 billion on vehicle production in both Michigan and Ohio. The company estimates that its investment will yield about 2,000 jobs between both states. However, as Sergio Marchionne, CEO of FCA, explained to the press in a conference today, Trump and his impending administration had nothing to do with the decision. He said the decision to invest in the plants in Michigan and Ohio were in place well before Trump was going to be the President of the United States. In addition, he said that FCA has not been in contact with Trump or any of his colleagues regarding the decision. Marchionne also stated that neither he nor the company was making any preemptive plans for manufacturing locations the light of the upcoming Trump presidency. Rather, he said that the company will change to address regulations that are actually passed, and the only way the company could change plans ahead of new laws or taxes would be with more information and clarity. We assume that a "big border tax" isn't specific enough. Still, the fact that automakers are going out of their way to make and clarify announcements about manufacturing illustrates the massive attention Trump brings with every Tweet.
